You agree not to use the website in any way that violates any applicable national or international law or regulation, to transmit any advertising or promotional material without our prior written consent, to impersonate or attempt to impersonate the Company or any other person or entity, in any way that infringes upon the rights of others or is illegal, threatening, fraudulent, or harmful, or to engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the website.

4. Products and Services
Product Information
We make every effort to display as accurately as possible the specifications, descriptions, and images of our products (Canadian wool and cotton garments). However, we do not warrant that product descriptions, specifications, images, or other content on the website are accurate, complete, reliable, current, or error-free. All products are subject to availability, and we reserve the right to discontinue any product at any time.
Pricing
All prices are quoted in United States Dollars (USD) or Canadian Dollars (CAD) as specified and are subject to change without notice. Prices do not include applicable taxes, duties, shipping costs, or other fees unless explicitly stated. We reserve the right to correct any pricing errors on our website or on pending orders.
Quotations
Quotations provided by ARADOS are valid for 30 days from the date of issue unless otherwise specified. Quotations are not binding until a formal purchase order is accepted by ARADOS. Prices quoted are based on current market conditions and are subject to change based on fluctuations in raw material costs, exchange rates, and other factors.
5. Orders and Payments
Order Acceptance
Your order constitutes an offer to purchase products or services from ARADOS. All orders are subject to acceptance by ARADOS. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in product or pricing information, or suspected fraudulent or illegal activity.
Payment Terms
Payment terms are established on a case-by-case basis and may include Letter of Credit (L/C) at sight, deposit payment (typically 30-50%) with balance before shipment, Net 30 days for approved customers with established credit, or full payment in advance for first-time customers. All payments must be made in the currency specified in the invoice. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Payment Methods
We accept payment via wire transfer, Letter of Credit, and other methods as agreed upon in writing. Payment processing is handled securely through our banking partners. We do not store credit card information on our servers.
6. Shipping and Delivery
Shipping Terms (Incoterms)
Shipping terms are specified in each quotation and purchase order. We offer FOB (Free On Board) Montreal, CIF (Cost, Insurance, Freight), and CFR (Cost and Freight) terms. Risk and title transfer according to the agreed Incoterms.
Delivery Times
Delivery times are estimates only and are not guaranteed. For Canadian wool exports, typical delivery time is 6-8 weeks from contract confirmation. For cotton garment imports, typical delivery time is 10-14 weeks from order confirmation. Delivery times may vary based on product availability, production schedules, shipping routes, customs clearance, and other factors beyond our control.
Risk of Loss
Risk of loss and title for products pass to the customer in accordance with the agreed Incoterms. Once risk has transferred, ARADOS is not responsible for loss, damage, or delay during transit, except as may be covered by insurance under CIF terms.
7. Quality Assurance and Inspections
Quality Standards
All Canadian wool is tested to IWTO (International Wool Textile Organisation) and AWEX (Australian Wool Exchange) international standards by accredited laboratories. Test certificates are provided with every shipment. All cotton garments undergo comprehensive quality control inspections including pre-production sample approval, in-line inspections, and pre-shipment final inspections according to AQL (Acceptable Quality Level) standards.
Inspection Rights
Customers have the right to arrange third-party inspection of products before shipment at their own expense. ARADOS will cooperate with third-party inspection companies and provide reasonable access to products and documentation.
Claims and Disputes
Any claims regarding product quality, quantity, or condition must be made in writing within 7 days of receipt of goods for garments, or within 14 days of receipt for wool. Claims must be supported by photographic evidence and detailed description of the issue. ARADOS will investigate all claims promptly and work toward fair resolution.
8. Returns and Refunds
Return Policy
Due to the nature of our products (bulk wool and custom-manufactured garments), returns are generally not accepted except in cases of products that fail to meet documented specifications or approved sample standards, products damaged during transit, products shipped in error by ARADOS, or other circumstances as agreed upon in writing. All returns must be authorized in advance by ARADOS.
Refund Policy
If a return is authorized, refunds will be processed within 30 days of receipt and inspection of returned goods. Refunds will be issued to the original payment method. Shipping costs are non-refundable unless the return is due to ARADOS error.
9. Intellectual Property
The website and its original content, features, and functionality are owned by ARADOS and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website without prior written consent from ARADOS.
10. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will ARADOS, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the website or services, any conduct or content of any third party on the website, any content obtained from the website, or unauthorized access, use, or alteration of your transmissions or content.
Our total liability for any claims arising out of or relating to these Terms or the services shall not exceed the amount paid by you to ARADOS in the twelve (12) months preceding the claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless ARADOS and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of your use and access of the website or services, your violation of any term of these Terms, your violation of any third-party right, or any claim that your use of the website or services caused damage to a third party.
12. Disclaimer of Warranties
The website and services are provided on an “AS IS” and “AS AVAILABLE” basis. ARADOS makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
ARADOS does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.
13. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the services shall be resolved through binding arbitration in Montreal, Quebec, Canada, in accordance with the rules of the Canadian Arbitration Association.
14. Force Majeure
ARADOS shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
15. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
16. Waiver
No waiver by ARADOS of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of ARADOS to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
17. Entire Agreement
These Terms and our Privacy Policy constitute the sole and entire agreement between you and ARADOS with respect to the website and services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the website and services.
18. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our website and services after any revisions become effective, you agree to be bound by the revised terms.
